Terms of Service

Last updated: September 5, 2026 · Version 2026-09-05

Re-issued 2026-09-05. The text of these Terms is unchanged from the 8 July 2026 version. Section 1 incorporates our Privacy Policy, which was materially updated on 5 September 2026 to disclose additional AI processing, so acceptance is being recorded afresh against the current version of both documents.

1. Agreement to Terms

By creating an account or using TimeTracer, you agree to these Terms of Service and our Privacy Policy. If you use TimeTracer on behalf of an organization that acts as a controller of personal data, you also agree, on the organization's behalf, to our Data Processing Addendum, which is incorporated into and forms part of these Terms and applies automatically to that processing (see Section 3.3). If you do not agree, do not use the service.

TimeTracer is operated by Foundry01 LLC, an Indiana limited liability company. If you use TimeTracer on behalf of an organization, you represent that you have authority to bind that organization to these terms — including the incorporated Data Processing Addendum.

These Terms, together with the incorporated Privacy Policy and (for organization customers) the Data Processing Addendum, are the entire agreement governing your use of TimeTracer. Where your organization and Foundry01 LLC execute a signed master services agreement (MSA) or Data Processing Agreement, that signed agreement controls to the extent of any conflict.

2. Service Description

TimeTracer is a voice-first time-tracking application. You narrate what you worked on and AI transcribes and parses it into time entries and reports. Features may include time entry, project and client management, voice input, AI-assisted parsing and reporting, calendar integration, data export, and team collaboration. Time rounding is off by default and applies only if you explicitly enable it. We may add, modify, or discontinue features at any time.

3. Accounts

3.1 Individual Accounts

You must be 18 or older to use TimeTracer. You are responsible for keeping your login credentials secure, for all activity under your account, and for providing accurate information.

3.2 Organization Accounts

Organization accounts allow teams to collaborate. The organization owner or administrator controls membership, roles, permissions, and billing, and may view team members' time data and generate reports.

Employer visibility. If you use TimeTracer through an organization, your organization's administrators and managers can view the time entries and notes you track, along with analytics and AI-generated reports, and may include them in exports. Your raw voice transcript is not shown in manager views. Your organization is responsible for providing any employee-monitoring notices required in your jurisdiction.

When a member joins an organization, existing personal data may be migrated or deleted as part of the transition. You should export your personal data before accepting an invitation if you wish to retain it. Data created within an organization is owned by the organization. If a member leaves, their organization data remains with the organization.

Additional terms may apply to organization customers under a signed MSA or DPA (see Section 1).

3.3 Data Processing (Organization Customers)

In organization mode, your organization is the controller of its members' personal data and Foundry01 LLC acts as a processor on the organization's behalf. Our Data Processing Addendum, available at /dpa, governs that processing and is incorporated into and forms part of these Terms for any organization customer that acts as a controller of personal data. It applies automatically, without a separate signature, when you use TimeTracer in organization mode. A counter-signed copy is available for enterprise customers on request at admin@foundry01.com. Where a signed MSA or Data Processing Agreement is executed, it supersedes the online Addendum to the extent of any conflict (see Section 1).

4. Acceptable Use

You agree not to:

  • Attempt to gain unauthorized access to the service or its systems
  • Use TimeTracer for any illegal purpose
  • Share your account credentials with others
  • Scrape, crawl, or place excessive automated load on the service
  • Reverse engineer, decompile, or disassemble the software
  • Interfere with or disrupt the service or other users' use of the service
  • Upload malicious content or attempt to compromise system security

Recording responsibility. You will use voice capture only for communications you are a party to, and you will not record others where you are not a party. In jurisdictions that require the consent of all parties to a recording, you are responsible for obtaining that consent before capturing others' voices.

5. Voice Input and AI Features

  • Recording consent. Voice transcription requires your current, versioned recording consent, which you can revoke at any time in settings. Your narration audio is streamed to our AI provider for transcription and is not stored.
  • You control your content. We do not automatically redact what you say. You are responsible for not narrating information you are not permitted to share.
  • AI outputs are an aid, not a decision. AI-generated transcripts, entries, and reports are assistive and may be inaccurate. They are not authoritative records and are not automated decisions about any individual. You are responsible for reviewing and correcting them.
  • Human review before adverse action. We recommend human review of AI-generated outputs before relying on them, and before any adverse employment action (such as discipline, termination, or changes to pay). See Section 10 for product limitations.

6. Your Data

Ownership. In a personal account, you own your time-tracking data. In an organization account, data created within the organization — including its members' entries, notes, and reports — belongs to the organization, which controls its access, export, retention, and deletion (see Sections 3.2–3.3). AI-generated outputs are owned by the party that owns the underlying data.

License. You — or, for organization data, your organization — grant Foundry01 a limited license to process the data as necessary to provide the service, including storing it, processing it through the third-party services described in our Privacy Policy, and including it in organization-level reports where applicable. We do not sell your data, and we do not train models on it.

Export and return. In a personal account, you may export or request the return of your data at any time. In an organization account, export and return of organization data are handled through the organization's owner or administrator and the Data Processing Addendum — an individual member's self-service export and deletion are scoped accordingly. On termination, data is deleted in accordance with our Privacy Policy and, for organization customers, the Data Processing Addendum.

7. Payment and Billing

TimeTracer offers free and paid plans.

  • Standard and team plans are processed through our payment provider, Stripe. Enterprise plans may instead be billed by invoice or another agreed method.
  • Subscriptions auto-renew until you cancel
  • You can cancel anytime from your account settings
  • No refunds for partial billing periods, except where required by applicable law
  • We may change prices with 30 days' advance notice
  • Organization accounts use seat-based billing, adjusted automatically when members join or leave (except where an MSA sets other terms)

8. Intellectual Property

TimeTracer's software, design, branding, and documentation are the property of Foundry01 LLC. Your subscription grants you a non-exclusive, non-transferable license to use the service. You do not acquire any rights to our intellectual property beyond what is needed to use the service.

9. Third-Party Services and Sub-Processors

TimeTracer integrates with third-party services for infrastructure, payments, AI processing, calendar sync, email delivery, hosting, error monitoring, and other functionality. A current list of sub-processors is available at /subprocessors; for organization customers, we provide at least 30 days' advance notice before adding or replacing a material sub-processor. These services have their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Product Limitations

TimeTracer is a time-tracking aid. You are responsible for verifying its records and AI outputs before relying on them for legal, wage-hour, or employment purposes. In particular, TimeTracer does not capture meal-and-rest-break boundaries, does not produce certified payrolls (such as WH-347 for prevailing-wage work), and produces transcription and AI output that is not 100% accurate. Where your jurisdiction or contract requires such records, use a complementary system. Additional detail is in the Privacy Policy "Compliance Considerations" section.

11. Disclaimer of Warranties

TimeTracer is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure. We make no guarantees regarding the accuracy of AI-generated content or transcription. You are responsible for reviewing and verifying all AI outputs.

12. Limitation of Liability

To the maximum extent permitted by law, Foundry01 LLC's total liability for any claims arising from your use of TimeTracer is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, missed billable hours, or business interruption.

13. Indemnification

You agree to indemnify and hold harmless Foundry01 LLC, its officers, and employees from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the service, (b) your violation of these terms, (c) your violation of any third-party rights, or (d) content you submit to the service.

14. Termination

You can delete your account at any time from your account settings. We may suspend or terminate your account at any time, for any reason, with or without notice.

Before deleting your account, we recommend exporting your data. Upon deletion, your personal data is removed in accordance with our Privacy Policy. Active subscriptions are automatically canceled.

Sections 6, 8, 11, 12, 13, 15, 16, and 17 survive termination.

15. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and — for organization customers acting as a controller — the incorporated Data Processing Addendum, constitute the entire agreement between you and Foundry01 LLC regarding your use of TimeTracer, except that a signed MSA or Data Processing Agreement with an organization supersedes them to the extent of any conflict for that organization.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Assignment: You may not assign your rights without our consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We are not liable for failures due to causes beyond our reasonable control, including natural disasters, pandemics, cyberattacks, internet outages, third-party service failures, or government actions.
  • No waiver: Our failure to enforce any provision does not waive it.
  • Notices: We may notify you via email or in-app notifications.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notification and may require re-acceptance before continued use.

17. Dispute Resolution, Governing Law, and Contact

17.1 Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles.

17.2 Binding Arbitration

Any dispute arising from these Terms or your use of TimeTracer will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Indiana or by videoconference at your election. This arbitration provision applies to individual users under the AAA Consumer Arbitration Rules. An organization customer that has not signed an MSA remains bound by these Terms, including this Section, with such disputes administered under the AAA Commercial Arbitration Rules; where an organization has signed an MSA, the dispute-resolution terms of that agreement govern instead.

Exceptions: Either party may bring claims in small claims court if eligible, or seek injunctive relief for intellectual property protection.

17.3 Class Action Waiver

All disputes will be resolved on an individual basis only. You waive any right to participate in class, consolidated, or representative proceedings. If this waiver is unenforceable, the arbitration agreement in Section 17.2 is void.

17.4 Arbitration Opt-Out

You may opt out by emailing admin@foundry01.com within 30 days of first accepting these Terms, including your name, account email, and a clear opt-out statement. If you opt out, disputes will be resolved in the state or federal courts in Indiana.
